India Launches Digital Bond Tokenization Initiative Using Central Bank Digital Currency

India has begun converting its substantial corporate bond market into digital tokens that settle through the Reserve Bank of India's wholesale central bank digital currency, marking a significant infrastructure upgrade for the nation's fixed-income markets.

The initiative, known as Demat 2.0, represents an experimental phase managed by India's Securities and Exchange Board (SEBI) to modernize how corporate bonds are issued, held, and traded. By digitizing bonds and using the RBI's wholesale digital rupee for settlement, the system aims to reduce friction in transaction processing and create a more efficient ecosystem for institutional investors and bond issuers operating within India's financial markets.

The corporate bond market in India represents approximately $620 billion in value, making it one of Asia's larger fixed-income segments. Converting this market to digital infrastructure could streamline operations that currently involve multiple intermediaries and paper-based or legacy digital systems. The tokenization approach allows bonds to exist as programmable digital assets on distributed ledger infrastructure, potentially enabling faster issuance cycles and more granular ownership structures than traditional settlement methods permit.

In its current pilot phase, Demat 2.0 focuses on primary issuance and institutional settlement procedures. The SEBI framework establishes technical standards for how bonds are represented digitally and how the RBI's wholesale digital rupee facilitates payment between parties. Secondary trading features and retail investor access remain part of a phased rollout strategy, allowing regulators and market participants time to evaluate system performance and refine operational procedures before broadening participation.

For traders and institutional investors, tokenized bond markets could offer improved liquidity and faster trade settlement cycles compared to conventional structures. The use of a central bank digital currency for settlement eliminates certain counterparty risks associated with traditional payment infrastructure and potentially reduces time-to-finality for transactions. However, participants will need to adapt to new technical requirements and custody arrangements that accompany digital token-based assets.

The broader implications extend beyond India's domestic markets. Successful implementation of corporate bond tokenization using CBDC settlement could serve as a model for other emerging markets exploring digital financial infrastructure. India's approach demonstrates how central banks and securities regulators can collaborate to modernize capital markets while maintaining institutional oversight and risk management standards.
